Terms of Use

1. Introduction

These Terms of Use ("Terms") govern your use of the blorentz.com website (the "Site") and any services offered through it, including the Website and Marketing Audit and related consulting engagements (collectively, the "Services").

The Site is operated by Britton Lorentzen, doing business as Empac, a sole proprietorship registered in Washington State ("we," "us," "Empac," or "blorentz"). By accessing the Site or engaging the Services, you ("you" or "Client") agree to these Terms.

If you do not agree to these Terms, do not use the Site or engage the Services.


2. Services

2.1 Nature of the Website and Marketing Audit

The Website and Marketing Audit is a fixed-scope consulting engagement that provides:

  • A live recorded review session of up to 60 minutes, conducted via Google Meet
  • A written assessment typically delivered within 5–7 days of the session, depending on bandwidth
  • A 30-minute walkthrough call after the written assessment is delivered (with flexibility to extend if useful)
  • Email follow-up for clarifying questions on the audit content
  • Access to a client portal hosted at blorentz.com/audits/[client-slug] for twelve (12) months from the date of audit delivery
  • A downloadable archive containing the written report (PDF) and session recording (MP4)

The Roadmap tier additionally includes specific app, service, and tool recommendations for self-implementation, prioritized by commercial impact, and a more detailed walkthrough.

The Works tier additionally includes implementation of audit findings as a custom-scoped engagement, with the audit fee credited 100% toward the engagement when booked within ninety (90) days of audit delivery.

2.2 What the Audit Is Not

The Audit is explicitly not a security audit, code certification, compliance review, or penetration test. Specifically:

  • The Audit does not constitute a comprehensive security review.
  • The Audit does not certify compliance with any regulatory framework (including but not limited to SOC 2, HIPAA, PCI-DSS, GDPR, CCPA).
  • The Audit does not include penetration testing or active vulnerability assessment.
  • Security risk flags identified during the Audit are observations only, not findings. They do not constitute a security audit and should not be relied upon as one.
  • Empac and Britton Lorentzen are not security professionals and make no representations or warranties about the security posture of any audited product.

The Client is solely responsible for engaging qualified security professionals to perform formal security assessments. Audit recommendations do not substitute for such assessments.

2.3 Implementation

The Audit and Roadmap tiers are diagnostic engagements. They do not include implementation work.

The Works tier includes implementation of audit findings as a custom-scoped engagement, with scope and pricing determined based on the audit findings and locked in writing before any implementation work begins. The Works engagement starts at $10,000 USD; final pricing depends on scope.

If you book an Audit or Roadmap and subsequently book The Works within ninety (90) days of audit delivery, the audit fee will be credited 100% toward the engagement. Credit applies only to The Works engagements; it does not apply to Optimization Plans or other recurring services.

2.4 Service Eligibility

The Audit is not currently available for:

  • Products handling Protected Health Information (PHI) under HIPAA
  • Entities required to certify compliance with SOC 2, PCI-DSS, or similar frameworks as part of the engagement
  • Codebases exceeding 10,000 lines of code without prior scope expansion
  • Stacks outside of Next.js, React, Supabase, Firebase, Vercel, Netlify, Postgres, or Node (additional stacks evaluated case-by-case)

We reserve the right to decline any engagement at our sole discretion.


3. Engagement Process and Payment

3.1 Consultation and Proposal

Engagement begins with submission of a consultation request via the Site's intake form. Upon review, qualified requests will be invited to a brief consultation call to confirm fit and scope. The consultation is provided at no charge.

If we determine the engagement is a mutual fit, you will receive a proposal specifying the recommended tier, total fee, and engagement scope.

3.2 Payment Terms

  • Full payment is required before audit work commences
  • Payment is processed via Stripe or other approved payment processor
  • All fees are quoted and paid in U.S. dollars
  • The Audit tier is $1,500 USD; the Roadmap tier is $3,000 USD; The Works tier starts at $10,000 USD with final pricing determined by scope. Pricing is subject to change for future engagements but will be honored at the rate stated in your proposal.

3.3 Late Payment

For any invoiced work (including Custom Development engagements that may follow the Audit), late payment terms are as follows:

  • Payment is due within fifteen (15) days of invoice date
  • Work pauses on accounts more than fifteen (15) days overdue
  • A late fee of 1.5% per month accrues on overdue balances after fifteen (15) days

3.4 Cancellations and Refunds

  • Once payment is processed and audit preparation has begun, the engagement is non-refundable
  • If you need to reschedule the audit session, you may do so up to 48 hours before the scheduled session at no charge
  • If Empac is unable to deliver the audit as scoped (excluding events beyond reasonable control), a pro-rata refund will be issued
  • No money-back guarantee is offered on deliverable quality

4. Client Responsibilities

4.1 Required Materials

To enable the Audit, you agree to provide:

  • Read-only access to your code repository or deployed product URL
  • Database, backend, and infrastructure access necessary to complete the review
  • A written description of the product, its intended audience, and current commercial situation
  • Any analytics data available

4.2 Accuracy of Information

You represent that all information you provide is accurate to the best of your knowledge, that you have the legal right to grant the access required for the Audit, and that engaging the Services does not violate any third-party rights or contractual obligations.

4.3 Recording Consent

By engaging the Services, you consent to the recording of the live audit session and walkthrough call. The recording is provided to you for internal use only and may not be republished publicly without prior written consent from Empac.


5. Intellectual Property

5.1 Client Retains Ownership

You retain all rights to your code, product, brand assets, and proprietary information shared with Empac during the engagement. Nothing in these Terms transfers ownership of your intellectual property to Empac.

5.2 Audit Deliverables

The written assessment, session recording, and walkthrough materials produced as part of your specific engagement (collectively, "Audit Deliverables") are licensed to you for your internal business use, including sharing with employees, contractors, investors, and advisors with a legitimate need to access them.

You may not republish the Audit Deliverables publicly, sell them, or use them as a substitute for an audit Empac would otherwise provide to a third party.

5.3 Empac's Methods and Frameworks

The audit methodology, frameworks, templates, and processes used by Empac to produce the Audit are and remain the intellectual property of Empac. The Audit Deliverables are produced using these methods; the methods themselves are not transferred.

5.4 Use of Anonymized Findings

Empac may use anonymized patterns, observations, and aggregate findings from audits for case studies, blog content, social media content, and other marketing materials, provided that no identifying information about you or your product is disclosed without your prior written consent.

You may opt out of any use of your engagement for marketing purposes (including anonymized use) by providing written notice before audit delivery. This opt-out does not affect Empac's right to retain internal records of the engagement.


6. Confidentiality

6.1 Mutual Confidentiality

Each party agrees to treat as confidential any non-public information disclosed by the other party in connection with the engagement, including business plans, technical details, financial information, and customer data. Confidential information will not be disclosed to third parties except as required for the engagement, by law, or with the disclosing party's written consent.

6.2 Subcontractors

Empac does not currently use subcontractors for the Audit. If subcontractors are engaged in the future, they will be bound by equivalent confidentiality obligations.

6.3 NDA Upon Request

A mutual non-disclosure agreement is available upon request before the discovery call. Standard practice; reasonable terms.


7. Client Portal and Data Retention

7.1 Portal Hosting Commitment

Your audit portal at blorentz.com/audits/[client-slug] will remain accessible to you and your authorized contacts for twelve (12) months from the date of audit delivery. After this period, the portal will be deactivated, but a sunset page will remain accessible with contact information for archive access.

7.2 Archive Retention

For an additional twelve (12) months following portal deactivation (totaling twenty-four months from audit delivery), Empac will retain a private archive of your audit deliverables and may, upon request, provide access to or copies of the deliverables.

After twenty-four (24) months from audit delivery, audit deliverables may be permanently deleted at Empac's discretion. Empac is under no obligation to provide further access after this point.

7.3 Your Permanent Copy

You may download a complete archive of your audit deliverables at any time during the twelve (12) month portal hosting period. This archive is yours to retain permanently regardless of portal hosting or archive retention periods.

7.4 Access Logging

The portal logs access events including views, downloads, and authentication attempts. This data is retained for security, abuse detection, and aggregate analytics purposes.


8. Warranties and Disclaimers

8.1 Limited Warranty

Empac warrants that the Services will be performed in a professional manner consistent with industry standards for senior consulting engagements.

8.2 No Other Warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES AND ALL AUDIT DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

EMPAC MAKES NO WARRANTY:

  • That following audit recommendations will produce any specific business outcome (including but not limited to increased conversion rates, revenue, traffic, or user growth)
  • That the audited product is or will be secure
  • That the audited product is or will be compliant with any law, regulation, or industry standard
  • That the audited product will be free of defects
  • That the audited product will function without interruption or error

8.3 No Security Warranty

WITHOUT LIMITING THE FOREGOING, EMPAC EXPRESSLY DISCLAIMS ANY WARRANTY, REPRESENTATION, OR GUARANTEE RELATED TO THE SECURITY POSTURE OF ANY AUDITED PRODUCT. Security risk flags identified in the Audit are observations only and do not constitute a security audit. You are solely responsible for engaging qualified security professionals as needed.


9. Limitation of Liability

9.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPAC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM.

9.2 Excluded Damages

IN NO EVENT WILL EMPAC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF WHETHER EMPAC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Security-Related Claims Excluded

NOTWITHSTANDING ANYTHING TO THE CONTRARY, EMPAC EXPRESSLY DISCLAIMS ALL LIABILITY FOR SECURITY-RELATED CLAIMS, INCLUDING BUT NOT LIMITED TO CLAIMS ARISING FROM:

  • Data breaches, unauthorized access, or compromise of the audited product
  • Security vulnerabilities not identified in the Audit
  • Reliance on security risk flags as a substitute for a formal security audit
  • Compliance failures or regulatory penalties

THE CLIENT EXPRESSLY ACKNOWLEDGES THAT THE AUDIT IS NOT A SECURITY AUDIT AND ASSUMES ALL RISK RELATED TO THE SECURITY POSTURE OF THE AUDITED PRODUCT.

9.4 Basis of the Bargain

The limitations in this Section 9 are a fundamental basis of the bargain between you and Empac, and the fees charged for the Services reflect these limitations.


10. Indemnification

You agree to indemnify, defend, and hold harmless Empac and Britton Lorentzen from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms
  • Your violation of any law or regulation
  • Your infringement of any third-party rights
  • Your use of audit recommendations in ways inconsistent with these Terms
  • Any security incident, data breach, or compliance failure of the audited product

11. Termination

11.1 Termination for Cause

Either party may terminate an engagement for material breach by the other party, provided the breaching party has been given written notice and a reasonable opportunity (not less than 14 days) to cure.

11.2 Effect of Termination

Upon termination:

  • Empac will provide any audit deliverables completed as of the termination date
  • You remain responsible for any fees due for work performed
  • Confidentiality and intellectual property provisions survive termination
  • Liability limitations survive termination

11.3 No Implied Termination

These Terms do not create a continuing engagement obligation. The Audit is a one-time fixed-scope engagement that concludes upon delivery of the walkthrough call and follow-up email period.


12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.

12.2 Informal Resolution First

Before initiating any formal dispute resolution, the parties agree to attempt to resolve disputes through good-faith discussion for a period of at least 30 days.

12.3 Venue

Any dispute not resolved through informal discussion shall be brought exclusively in the state or federal courts located in Pierce County, Washington. Both parties consent to personal jurisdiction in such courts.


13. General Provisions

13.1 Entire Agreement

These Terms, together with any signed engagement agreement and the Privacy Policy, constitute the entire agreement between you and Empac regarding the Services.

13.2 Modifications

Empac may update these Terms from time to time. Material changes will be communicated via email to active and recent clients and reflected by the "Last updated" date at the top of this page. Continued use of the Services after notice constitutes acceptance.

13.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

13.4 No Waiver

Failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.

13.5 Assignment

You may not assign your rights or obligations under these Terms without Empac's written consent. Empac may assign these Terms to a successor entity, including in connection with a sale of the business.

13.6 No Agency

These Terms do not create any partnership, agency, joint venture, or employment relationship between you and Empac. Empac is an independent contractor.

13.7 Notices

Notices to Empac should be sent to Britton@empac.co with confirmation of receipt requested. Notices to you will be sent to the email address provided during intake.
